03BEFORE YOU SIGN

Clear terms are part of the product.

Investment and billing

3 months initially. $90,000 total, billed monthly in advance. All prices in USD. Monthly in advance after a signed statement of work. Cloud, model, software-vendor fees and applicable taxes are additional.

Term, notice and refunds

After the initial 3 months, the engagement continues monthly. Either party can give 30 days' written notice, including during the initial term, with termination effective no earlier than the end of that term. Fees for delivered service periods are not refundable. Prepayments for periods after termination are returned. The signed agreement defines remedies for nonperformance.

Scope and exclusions

One prioritized delivery lane. Start with one workflow, up to three roles and two integrations; agree each release before work begins.

  • Whole-ERP replacements or unlimited feature requests
  • Round-the-clock staffing or guaranteed resolution times
  • Regulatory certification or guaranteed business outcomes
Support and response

Monday to Friday, 09:00–18:00 US Central Time, excluding US federal holidays. Response means acknowledgment, not a guaranteed resolution.

  • Severity 1: Production is down, or your data is at risk. Acknowledged within 4 business hours.
  • Severity 2: Running, but degraded, drifting, or costing too much. Acknowledged within 1 business day.
  • Severity 3: A question, a change request, or something to watch. Acknowledged within 2 business days.
Ownership and handover

Paid-for custom deliverables transfer to you monthly, with source history, documentation and a runbook. Your existing IP stays yours. Third-party and open-source components keep their licenses; any pre-existing ML LABS components are listed in the agreement with rights to use and maintain the delivered system.

The person and the capacity

Omar leads the work personally. Scope and an available start date are confirmed before you sign; new delivery commitments are accepted only when current obligations and incident coverage can be met. You receive regular repository exports and a documented handover. If Omar is non-responsive for 5 consecutive business days, fees stop and are prorated to the start of that period. No standby engineer or 24/7 coverage is included.
